ClubBasket Subscription Terms
Last updated: 22 October 2026.
1. Who provides the Service
ClubBasket is provided by PSG, Borut Grauf s.p., Pod gonjami 85, 2391 Prevalje, Slovenia, business registration number 8519471000, tax/VAT number SI54246679, operating under the Fimula brand ("we", "us"). Contact: support@clubbasket.app.
These Terms govern our club-management software and any club-website service included in the signed order or founding-club agreement (the "Order"). The club or other organisation named in the Order is our customer (the "Club"). Product names identify services, not separate companies.
2. How the agreement is made
An enquiry, demo request or founding-club request, including one submitted through SportHQ, does not create a subscription or obligation to pay. A subscription is concluded when both parties sign an Order incorporating these Terms. Each signatory confirms authority to bind the party they represent. Electronic signatures may be used.
The Order identifies the Service, package, included features, price and taxes, billing cycle, start date or activation conditions, initial commitment, renewal and cancellation rules, and any separately agreed work. It identifies the version of these Terms and the Data-Processing Agreement supplied to the Club.
For conflicts concerning personal-data processing, the DPA prevails. For other conflicts, specific provisions of the signed Order prevail over these Terms. The Cancellation and Refund Policy explains the corresponding process. The Privacy Notice explains processing; it is not a request for blanket consent.
3. Service and access
We provide the features and support agreed in the Order. Availability of an optional feature depends on the purchased package and its release status. A demonstration, roadmap or beta feature is not a commitment to deliver it unless expressly included in the Order.
The Club designates authorised administrators, keeps their contact details current, and manages access for coaches, staff, members and guardians. Users must keep their credentials secure, provide accurate information and report suspected misuse promptly. We remain responsible for our own security obligations.
Invited users do not become personally liable for the Club's subscription simply by accessing it. They must follow the access, content and acceptable-use rules communicated to them. Club membership, participation fees and sporting activities are governed by the Club's arrangements, which are separate from its subscription with us.
4. Children and guardians
Children's player profiles are records managed by the Club and accessed on the child's behalf by an authorised guardian. Children must not use a separate sign-in account or enter the Club's subscription contract. The Club must invite the guardian, keep guardian relationships accurate, and limit access to the children and information that person is entitled to manage. Authorised Club staff may access these records as needed for their role.
The Club is responsible for the lawful basis and any required authorisation for children's records, communications and public photos. Permission to join the Club does not automatically authorise every use or publication of a child's personal data.
5. Charges and invoices
For this directly contracted service, we issue invoices and the Club pays by the method and deadline in its Order. No payment obligation arises from submitting the SportHQ enquiry form. Paying a subscription in instalments does not shorten a minimum term stated in the Order.
The Order determines whether prices include or exclude VAT and how applicable taxes are charged. Additional services, capacity or domain work require an agreed price before charging. We do not automatically sell an upgrade because a usage limit has been reached.
Renewal and price-review provisions are those stated in the Order. We do not apply a new price retroactively to an already agreed period or override a written founding-price commitment.
If payment is overdue, we notify the Club and allow a reasonable opportunity to pay or explain a genuine dispute before restricting access, subject to any more protective Order terms. Suspension does not itself authorise deletion of Club data. Termination and offboarding follow sections 12 and 13.
6. Club content and public websites
The Club and other relevant rights holders retain their rights in uploaded and entered content. They authorise us to host, copy, transmit and display it only as necessary to provide, secure, maintain and support the agreed Service, follow lawful instructions and meet legal obligations. This permission lasts only as long as those purposes and the agreed retention require.
The Club decides what it publishes and must have the necessary rights and lawful basis for photos, names, news, logos and other content. Public pages can be read, copied or indexed by others. Club administrators must check publication settings before making content public.
The Club provides its own identity, contact details and relevant privacy information on its website. Our platform notice does not replace those disclosures. The Club is responsible for its sporting activities and the accuracy of its content; ClubBasket does not organise or supervise training, matches, transport or safeguarding arrangements.
We do not obtain permission through these Terms to use identifiable member content for advertising or to use the Club's name or logo as a customer endorsement. Such promotional use requires separate permission. We may use statistics that no longer identify a person to understand service usage and improve reliability.
7. Personal data and confidentiality
For Club-controlled personal data, we act under the DPA. The Club determines its lawful purposes, notices and retention instructions. We have separate responsibilities for processing we control, as explained in the Privacy Notice.
Neither party may use the other's confidential information except to perform the agreement, exercise its rights or comply with law. Each protects that information with reasonable care and limits access to people and providers who need it and are bound by appropriate obligations. This does not cover information lawfully public or independently obtained without restriction.
8. Acceptable use
The Club and its users must not:
- violate law or another person's privacy, intellectual-property or other rights;
- impersonate someone, gain unauthorised access or share access beyond permitted users;
- upload unlawful, abusive or exploitative material or send unlawful unsolicited messages;
- interfere with security, overload the Service or evade access or usage restrictions;
- enter unnecessary sensitive information or use ordinary notes as medical records; or
- resell access or extract other customers' information without permission.
Where an enabled feature is intended to record limited health-related information, such as an absence reason, the Club must meet the relevant data-protection conditions and restrict access.
9. Our software and requested changes
We and our licensors retain rights in the software, designs, themes and supplied materials. The Club receives permission to use the agreed Service during its subscription. This does not transfer ownership of the software or grant rights to reuse website themes outside the Service.
We may consider feedback and feature requests. Development work and delivery dates are binding only if agreed in writing. Unless a separate agreement says otherwise, improvements we develop remain part of our software and may be made available to other customers.
10. Availability, support and changes
We exercise reasonable skill and care in providing the Service. We cannot guarantee uninterrupted or error-free availability. Any specific service levels or support hours must be in the Order. We give reasonable notice of planned maintenance where practicable.
We may maintain and improve the Service. Before a change materially reduces agreed paid functionality, we give at least 30 days' notice where practicable. Urgent legal or security changes may require shorter notice. If we cannot provide a reasonable alternative and the change materially disadvantages the Club, it may end the affected Service and receive a refund of prepaid fees for the unused affected period.
11. Responsibility and liability
Each party is responsible for loss caused by its breach of the agreement or applicable law. We remain responsible for our own obligations when using service providers.
To the extent permitted by law, our aggregate contractual liability for the affected Service is limited to the fees paid or payable for that Service during the 12 months before the event giving rise to the claim. During the first 12 months, the cap is the agreed annualised fee. To the extent permitted by law, neither party is liable for indirect or consequential losses.
These limits do not apply to fraud, wilful misconduct, gross negligence, death or personal injury for which liability cannot be excluded, or other liability that law does not allow the parties to limit. They do not restrict an individual's statutory data-protection rights or any mandatory consumer protections. Labels in this agreement do not remove rights that apply by law.
12. Duration, cancellation and suspension
The subscription runs and renews as stated in the Order. The Club may give cancellation notice through the contact details in section 1; it takes effect under the agreed notice and commitment provisions. We confirm receipt and the expected end date.
Either party may terminate for a material breach that is not remedied within a reasonable period specified in written notice. Immediate, proportionate restriction or termination may be justified by serious unlawful use, fraud or an urgent security threat. Where lawful and practicable, we explain the reason and allow a response. A good-faith complaint or exercise of statutory rights is not itself a breach.
13. End of service and return of data
When the subscription ends, normal app access and the included public website end unless otherwise agreed. We retain the Club's data in restricted storage for 90 days after that end date and then delete it, including copies, unless a shorter period is required by a valid instruction or a legal obligation requires specified records to be retained. The Club instructs this limited retention through its agreement; it does not extend normal service access.
We do not automatically prepare or send an export when a subscription ends. Where the Club chooses return of personal data under the DPA, it may request this through support before scheduled deletion. We arrange a secure return in a commonly used electronic format. Any mandatory data-return, retrieval or switching rights remain unaffected. We preserve data needed to complete a valid pending return request and explain any resulting retention to the Club. Individual privacy requests follow the separate rights process.
Backup copies remain protected from ordinary use and expire within 90 days of creation. Copies of terminated Club data are also subject to the end-of-service deletion deadline above. If restored for recovery, applicable deletion instructions are reapplied. Records kept solely because of a legal obligation are restricted to that purpose. The DPA governs continued protection until deletion is complete.
14. Updates, law and contact
We provide at least 30 days' notice of material changes to these Terms for an existing subscription, except where a legal or urgent security requirement necessitates earlier action. If a change materially disadvantages the Club, it may reject it and end the affected Service before the change takes effect, with unused prepaid fees refunded. Changes do not override a specific signed commitment or remove accrued rights.
Slovenian law governs the agreement. The parties first try to resolve disputes through direct discussion. Courts competent under applicable law may hear an unresolved dispute. Mandatory rights and jurisdiction protections remain unaffected.
Questions, complaints and contractual notices: support@clubbasket.app, or the postal address in section 1. We respond within a reasonable time; statutory deadlines apply where relevant.
